Terms & Conditions for Engineers Joining CORGI Trade

ABOUT CORGI TRADE

  1. Introduction Welcome to CORGI Trade. These Terms & Conditions govern the relationship between us, CORGI Services Limited, a company incorporated in England and Wales with company number 03268198, and registered office at Suite 2 Healey House, Dene Road, Andover, Hampshire, SP10 2AA (“we”, “us”, or “our”), and engineers that wish to work with us (“you” or “Engineer”), in relation to membership of the CORGI Trade scheme (“CORGI Trade”). You should read these Terms & Conditions carefully and ensure that you understand them before applying for membership.
  2. The CORGI Trade Platform We operate a platform through which we connect approved Engineers (our members) with consumers seeking completion of work (“Customers”), being the installation, repair, or servicing of equipment that falls within the scope of CORGI Trade. Access to the CORGI Trade platform is reserved for members and membership is subject to meeting the requirements, and complying with the terms, set out in these Terms & Conditions.
  3. Your Agreement By applying for membership of CORGI Trade, you agree to be bound by these Terms & Conditions, the Platform Terms, the Product Terms, the Privacy Policy, the Cookies Policy and any other document or policy referenced in them. Our contract with you shall come into force upon our acceptance of your application for membership (which shall be confirmed in an acceptance email) and shall be governed by these Terms & Conditions and continue unless terminated in accordance with paragraph 26.
  4. Application for Membership You may apply for membership of CORGI Trade at any time but no more than once each calendar year. You acknowledge that acceptance of your membership is entirely at our discretion and is subject always to you meeting the relevant requirements for membership as set out in these Terms & Conditions including, but not limited to, the Minimum Trade Competencies detailed at paragraph 9. If you are approved for membership of CORGI Trade, we will provide you with the benefits detailed at paragraph 5 for the duration of your membership, until terminated.

CORGI TRADE MEMBERSHIP 

  1. Membership Benefits As part of your membership with CORGI Trade we will provide the following benefits for the duration of your membership:
  • Introduction to prospective Customers, applicable to your expertise and locality, that are seeking the installation, repair, or servicing of boilers, electrical equipment, plumbing, drainage and home emergency repairs, that place a request for such work through the CORGI Trade platform (an “Enquiry”).
  • Access to the CORGI Trade portal to allow you to respond to Enquiries to provide quotes and timeframes for completion of the requested works.
  • Use of the CORGI Trade brand and the right to promote your business as a member of CORGI Trade.
  1. Use of the CORGI Brand For the duration of your membership you are permitted to use the CORGI Trade trade mark on your website to promote your membership, subject to compliance with our Brand Guidelines. You acknowledge and agree that the CORGI and CORGI Trade trade marks are owned by us and intellectual property rights arising in materials incorporating or relating to the CORGI brand shall belong to us. You must not use, and must not permit any third-party to use, the CORGI Trade trade mark for any purpose other than promoting your membership. You shall not use the CORGI mark, or any confusingly similar mark, as part of any business name or domain name, and will not seek to register the CORGI mark or any confusingly similar mark. We reserve the right to withdraw your permission to use the CORGI Trade trade mark at any time, without cause, which shall be effective immediately upon receipt of our written notice to you.
  2. Our Responsibilities For the duration of your membership we agree to:
  • Provide you with access to the necessary digital tools, resources, and support to allow you to reply to Enquiries through the CORGI Trade platform.
  • Subject to paragraph 8, refer Enquiries to you that are applicable to your trade and locality, to allow you to provide a quote and timeframe for completion of the requested work.
  • Communicate relevant updates and changes regarding the platform, including but not limited to, terms, procedures, and compliance standards.
  1. No Assurance We may refer Enquiries to you entirely at our discretion. You acknowledge that we are under no obligation to refer any Enquiries to you and we make no assurances that holding a membership with CORGI Trade will result in the receipt of Enquiries or result in workstreams arising from your response to Enquiries. We shall have no liability to you in the event a Customer withdraws their Enquiry or fails to proceed with requested work.

 

MEMBERSHIP REQUIREMENTS 

  1. Minimum Trade Competencies To be accepted for membership of CORGI Trade, Engineers must possess and maintain the necessary qualifications and competencies relevant to their trade, including:
  • Valid certifications and licences required by relevant authorities and applicable regulatory bodies.
  • Demonstrable experience, qualifications and expertise in the specified trade sector.
  • Competence and appropriate qualification of all employees and associates engaged in work with CORGI Trade.
  1. Public Liability Insurance Engineers must hold a minimum of £2 million in Public Liability Insurance for the duration of their membership and for at least 12 months after termination of their membership with CORGI Trade. Proof of insurance must be provided before being accepted for membership and must be provided within 7 days of any request for proof made by us.
  2. Data Sharing You understand that in the course of providing you with access to CORGI Trade it will be necessary for us to share with you personal information relating to identifiable individuals. You understand that this would make you a data controller and you agree to comply with all obligations of a controller under all applicable data protection and privacy legislation in force from time to time in the UK and as detailed in our Privacy Policy, with which you hereby undertake to comply with. You understand that in order to assess your qualification for membership that we may share your information with third parties including credit reference agencies and may share your information with third parties that provide membership services including authorised payment service providers, as well as with regulatory bodies including Trading Standards and HMRC. To allow us to refer Enquiries to you and to connect you with Customers we will need to provide them with your business information and individual contact details and you hereby authorise us to collect and share such information for that purpose.

 

YOUR COMMITMENTS

  1. Warranties In applying for, and maintaining, a membership of CORGI Trade you warrant that:
  • You have capacity to enter into a contractual agreement with us and with customers seeking the performance of works detailed in Enquiries;
  • The information you provide to us in connection with your application for membership of CORGI Trade is complete and accurate and you will promptly notify us of any changes to it.
  • Any documents or information that you provide to us to support your application for membership of CORGI Trade, or in response to any request from us at any time, are genuine documents or true copies of genuine documents.
  • You have, and will maintain for the duration of your membership, the Minimum Trade Competencies detailed at paragraph 9 and public liability insurance at the level detailed at paragraph 10.
  • You will at all times when doing anything in connection with your membership or provision of services to a Customer comply with all applicable laws, statutes, regulations and codes from time to time in force.
  1. Responding to Enquiries You must use the CORGI Trade platform to communicate with customers in response to Enquiries and must ensure that:
  • Your communications with customers are prompt and courteous and comply with the Brand Guidelines where applicable.
  • You reply to Enquiries in a professional manner, using appropriate language.
  • Quotes that you provide are fair and reasonable and timeframes that you suggest are realistic and achievable.
  • You agree a clear scope of work with Customers and provide services subject to a written contract.
  • Any communications with Customers outside of the CORGI Trade platform are documented afterwards within the platform to help us keep a full record of all communications in relation to a transaction in the case there are any disputes.
  • If you cannot provide the services requested by the Customer that you decline the Enquiry and inform us so that we can refer the Enquiry to another Engineer.
  1. Confidentiality Both you and we agree to maintain the confidentiality of all proprietary information obtained during the course of your membership. No confidential information shall be disclosed to third parties without the prior written consent of the other party.

 

ENGINEER’S PROVISION OF SERVICES

  1. Contractual Relationship When a Customer places an Enquiry on the CORGI Trade platform, they must accept our standard customer terms, which state that we are acting in the role of introducer only and shall have no liability arising from the contractual relationship that forms between you and the Customer when they accept your offer to provide services, which is given in response to an Enquiry.
  2. Obligations of Engineer As a member of CORGI Trade, in the course of providing services that generate from an Enquiry, you warrant that:
  • You will provide services in accordance with good industry practice, meaning such professional standards of skill, care, timeliness and diligence expected of a competent tradesperson in your industry.
  • You will at all times act in compliance with all applicable laws and regulations affecting the performance of your services.
  • You have the ability and resource to provide and are suitably fit and qualified to supply the works you offer in response to any Enquiry.
  • You will provide all works lawfully and will not breach any regulations, codes of conduct, regulatory guidance, any regulatory decisions or court orders.
  • You will register appliances and parts for all applicable manufacturers guarantees/warranties and obtain any certificates required for the installation or repair of appliances, such as Building Regulations Compliance Certificates, and will provide such certificates and relevant documentation to the Customer.
  • You will act with integrity and professionalism at all times and will not do, or omit to do, anything that is, in our reasonable opinion, likely to have an adverse impact on the CORGI Trade platform, the CORGI brand, or the Customer.
  • You will not refer any Enquiry to a third-party unless you enter into a subcontracting agreement with that third-party to perform the required services on your behalf.
  • Your work will be guaranteed for a period of 30 days following completion of the work where such work is a service and 12 months where such work is an installation of new appliances, subject to no third-party interference, and such guarantee will be communicated to Customers in the course of responding to an Enquiry.
  • You will raise invoices for work completed for a Customer and seek payment of the same through the CORGI Trade platform only.
  1. Code of Conduct In the provision of services to any Customer you undertake to comply with the CORGI Trade Code of Conduct, which requires:
  • Professional integrity and honesty.
  • Compliance with applicable safety standards and regulations.
  • Respectful and courteous interactions with clients and colleagues.
  • Maintaining a smart appearance and wearing appropriate workwear, PPE, and shoe coverings.
  • Use of protective coverings to protect a Customer’s home, where applicable.

PAYMENT

  1. Payment Terms In consideration of your membership of CORGI Trade and the membership benefits that you receive, you will pay to us a commission to the value of 5% of the gross sum invoiced to the Customer for completion of the work (“Fee”). Invoices shall be raised, and payment is to be made, through the CORGI Trade platform to allow the Fee to be automatically attributed to us. You are responsible for agreeing and securing payment of invoices and we accept no liability for non-payment or late payment of invoices by Customers.
  2. Auditing / Monitoring Analytics You acknowledge that to allow us to accurately document conversion rates of Enquiries, Customer behaviour, Engineer compliance with these Terms & Conditions, Fees payable and sums received, that we will monitor all activity conducted through the CORGI Trade platform. Upon auditing the data derived from the CORGI Trade platform, if it appears that an Engineer is not complying with these Terms & Conditions, we reserve the right to terminate their membership immediately upon serving written notice.

 

COMPLAINTS AND DISPUTES

  1. Return Visits In accordance with paragraph 16, you warrant that the work you provide to Customers will be guaranteed for a period of 30 days following completion of the work where such work is a service and 12 months where such work is an installation of new products. You agree to return to the Customer to undertake rectification work at no cost if, within those respective guarantee periods, a fault arises or further repair is required, provided that the same does not arise due to Customer or third-party interference with the initial work. Remedial or additional work requests should be raised and managed to completion through the CORGI Trade platform.
  2. Customer Complaints In the event that any complaint is raised by a Customer, whether to you directly or raised via us, you agree to:
  • Address and attempt to resolve the complaint in a timely and professional manner, conducting a return visit in accordance with paragraph 20 if applicable.
  • Co-operate with us in investigating the complaint or in providing rectification actions.
  • Advise the Customer that there are alternative dispute resolution schemes available to them, including referring the issue to us.
  • Make a claim under your public liability insurance to settle and resolve a dispute, when necessary and where alternative resolution options have either failed, or are not suitable to remedy the complaint.
  1. Membership Disputes In the event that any dispute concerning your membership of CORGI Trade arises between us, we both agree to seek to resolve the dispute promptly and amicably. Any dispute shall be notified to the other party in writing and a nominated representative from each party shall seek to resolve the issue within 30 days of receipt of notice of the dispute. If the matter is not resolved within 90 days of notice, then either party may exercise any other rights or remedies available to them.

 

LIABILITIES 

  1. Liability Limitations To the fullest extent permitted by law, we shall have no liability to you for any losses arising from your membership of CORGI Trade or your use of the CORGI Trade platform. We have no responsibility or liability for, or arising from, your contract with Customers, including your provision of services and the Customer’s obligation to pay for the same. Nothing in these Terms & Conditions limits any liability (whether yours or ours) which cannot legally be limited (including for death or personal injury, fraud or fraudulent misrepresentation), for all other liabilities our total liability to you shall be capped at a sum equal to the Fees that we have received from you in the 12 months preceding the liability arising.
  2. No Liability for Provision of Engineer’s Services You acknowledge that we have an introducer relationship only and are not a party to the contract that is formed between you and a Customer when you reply to an Enquiry. We accept no liability for any work you perform and any payment due to you under the contract that is formed between you and a Customer and you agree to indemnify and hold harmless CORGI Trade in respect of any such loss or liability in accordance with paragraph 25.
  3. Indemnification You hereby agree and undertake to indemnify us and to hold us harmless against any liabilities, fines, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and any tax liabilities or third party charges) and all interest, penalties and legal costs and all other professional costs and expenses that we incur arising out of or in connection with any claims arising from your: provision of services to Customers; activities on the CORGI Trade platform; use of the CORGI Trade trade mark; breach of the Data Sharing obligations detailed at paragraph 11; and your breach of any other term of these Terms & Conditions.

 

TERMINATION OF MEMBERSHIP

  1. Ending Your Membership We reserve the right to terminate your membership of CORGI Trade at any time, without cause, on 30 days’ written notice. You may terminate your membership of CORGI Trade at any time, without cause, on 30 days’ written notice save that any outstanding or incomplete work orders related to Enquiries shall be completed, invoiced and paid through the CORGI Trade platform as usual before termination will take effect. We may terminate your membership of CORGI Trade immediately if we become aware that you have breached these Terms & Conditions or the CORGI Skills Code of Conduct.
  2. Consequences of Termination Once your membership has come to an end, your access to the CORGI Trade platform will be restricted so that no further Enquiries are sent to you. Your access to the CORGI Trade platform will be cancelled in full once all outstanding invoices raised by you have been paid by Customers. You should immediately cease all use of the CORGI Trade trade mark and the promotion of any membership affiliation. Any use of the CORGI Trade trade mark without our permission shall constitute an infringement of our rights and we shall take all appropriate steps available to us to enforce our rights.

 

GENERAL LEGAL TERMS

  1. Notices Any formal notice required to be given under these Terms & Conditions must be in writing and must be sent to the other party to their registered address by registered mail, or to the nominated email address confirmed as accepting service of notices. Any notice sent by post shall be deemed to be received on confirmed delivery and for notices sent by email, shall be deemed delivered as stated by the email server.
  2. Amendments We may amend these Terms & Conditions from time to time. Engineers will be notified in writing of significant changes within 30 days of such changes taking effect.
  3. Entire Agreement Your agreement to membership of CORGI Trade, comprising these Terms & Conditions and all policies referred to in them, constitutes the entire agreement between you and us in relation to CORGI Trade. You acknowledge that in entering into this agreement you did not rely on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. You agree that you shall not have any claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this agreement.
  4. No Partnership Nothing in these Terms & Conditions shall constitute or imply any partnership, joint venture, agency, fiduciary relationship, employer/ employee, contractor/supplier, or other relationship between us. We are acting as an introducer only and you are and remain responsible for payment of all applicable taxes and National Insurance contributions, related to or arising from your provision of services to Customers, your employment of employees and your engagement of any sub-contractors. We shall have no liability for any loss, damage or claim arising from such matters and you hereby undertake to indemnify us in full in respect of the same.
  5. Third Party Rights A person who is not a party to these Terms & Conditions has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms & Conditions.
  6. Waiver Any delay by either party in enforcing any of these Terms & Conditions shall not be deemed a waiver or prejudice the rights of either party to enforce the same.
  7. Severability If any provision of these Terms & Conditions is found to be unenforceable or invalid, the remaining provisions shall continue to be valid and enforceable.
  8. Governing Law These Terms & Conditions and any dispute or claim arising out of your membership of CORGI Trade or your provision of the work to consumers are governed by and shall be construed in accordance with the laws of England and shall be subject to the exclusive jurisdiction of the courts of England.
